• Ads: Advertisement(s) provided by Advertiser for display on the Volta Network. • Ad Content: Information, materials, or content that Advertiser provides to Volta in connection with the Ads. • Advertiser: You, the advertiser, or any party entering into a Purchase Order on behalf of an advertiser. • Volta: Volta Charging, LLC. • Volta Network: Volta’s network of electric vehicle (“EV”) charging stations (“Volta Charging Stations”) that include digital displays for the placement of advertisements and other messaging that Volta determines, in its sole discretion, shall be displayed (“Volta Displays”). • Volta Charging Station Venues: Locations at which Volta has Volta Charging Stations with Volta Displays on which Volta offers advertisers the opportunity display advertisements.
AD RETAIL MEDIA /VOLTA CHARGING ADVERTISING SALES TERMS & CONDITIONS
Definitions:
• Advertiser’s purchase of the right to display Ads on the Volta Network will be set forth in one or more purchase orders that identify, as applicable, the fees, start date, duration of the Ad commitment, number of Volta Displays on which the Ads will be displayed, Volta Charging Station Venues at which the Ads will be displayed, and other agreed terms (each, a “Purchase Order”). These Terms & Conditions will govern any Purchase Order except as otherwise expressly set forth in a Purchase Order. • Advertiser agrees and acknowledges that Advertiser assumes liability for all Ad Content provided to AD Retail Media/Volta, that Ad Retail Media/Volta shall not be liable for Ads containing errors submitted by Advertiser and that Advertiser is responsible for the final review of all Ads, even if Ad Retail Media/Volta has provided assistance in the development or implementation of such Ads. • Volta has exclusive management authority for the sale and display of Ads on the Volta Network. Notwithstanding anything to the contrary set forth herein or in a Purchase Order, Volta reserves the right, at its sole discretion, to remove or edit any Ad or Ad Content that Volta reasonably believes may be inaccurate or deceptive; violates one or more restrictions applicable to a Volta Charging Station Venue, as determined by Volta in its sole discretion; or otherwise fails to comply with any law or regulation, or Volta’s guidelines or specifications; provided, however, that (i) Volta will promptly notify Advertiser after removing an Ad and Advertiser will be permitted to cure any violation within five (5) days of receipt of notice and (ii) Volta will submit any edits to an Ad or Ad Content to the Advertiser for review and approval before running such edited Ad; if Advertiser does not respond within three (3) days of receipt, the edits will be deemed approved.
Ad Management:
• Ad Content design specifications, electronic upload instructions and finished material shipping address will be provided to Advertiser by Volta upon request. Contact your AD Retail Media Account Representative. • Unless otherwise set forth in a Purchase Order, digital artwork for Ads shall be provided by Advertiser to Ad Retail Media/Volta no later than 7 days prior to the start date set forth in a Purchase Order. In no event will such start date be extended in the event that Advertiser does not provide timely artwork. Advertiser will send all artwork to their AD Retail Media Account Representative. • In the event that Advertiser’s digital art file requires additional post-production work after submission to AD Retail Media/Volta, including correction of errors or omissions, or providing typefaces (fonts), Advertiser will be charged the then-current post-production rate by Volta or its contractor to complete such work. • Ad Content will be returned upon the written request of Advertiser; provided, however, that 12 months after final publication of an Ad, Volta may discard Ad Content.
Content and Production:
• Advertiser will pay MPG Concepts all fees specified in each Purchase Order. Unless other otherwise set forth in a Purchase Order, MPG Concepts will send Advertiser monthly invoices, and Advertiser will pay such invoiced amounts within 30 days of the invoice date. For first time Advertisers, print/install set up fees, if applicable, will be due and payable upon receipt of first invoice from MPG Concepts. • If Advertiser employs an advertising agency or if a Purchase Order has been entered into by an agency or other party on behalf of Advertiser, Advertiser and the agency or other such party shall be jointly and severally liable for payment of andVer. 4/19/21compliance with the Terms & Conditions and all terms of each Purchase Order. • Purchase Orders will exclude any sales tax amounts that may appear on an invoice. All Fees are net of any excise, sales, use, value added or other taxes, assessments, tariffs, fines, penalties or duties on the purchase of Ads (collectively, “Taxes”). Advertiser is responsible for paying all applicable Taxes, unless Advertiser provides MPG Concepts with a valid tax exemption certificate authorized by the appropriate taxing authority. Advertiser will indemnify, defend, and hold Volta harmless from and against any claim arising out of Advertiser’s failure to pay Taxes. • If Advertiser fails to pay any amounts due under a Purchase Order or these Terms & Conditions, then AD Retail Media/Volta may, in its sole discretion, and without limiting AD Retail Media/Volta other rights and remedies, suspend the Ads or terminate the Purchase Order. If Advertiser’s payment method fails or Advertiser’s payments is past due, Ad Retail Media may collect past due amounts using collection mechanisms, and Advertiser shall pay all expenses associated with such collection, including reasonable attorneys’ fees. Undisputed past due amounts will accrue interest at 1% per month or the lawful maximum, whichever is less.
Fees and Payments:
• Advertiser shall indemnify and hold harmless AD Retail Media/Volta, its affiliates, and its and their respective officers, directors, agents and employees from and against any and all liability, claims, damages, losses, suits, demands, judgments, costs and/or fees (including, without limitation, reasonable attorneys’ and experts’ fees) to the extent arising out of or relating to any Ad or Ad Content, including, but not limited to, arising out of or relating to any infringement of Marks, trademarks, trade names, copyrights, invasion of rights of privacy, defamation, illegal competition or trade practices, damage to property or injury to or death of any person which is directly or indirectly caused by any use or misuse of Volta’s equipment.
Advertiser Indemnity:
• Advertiser grants and agrees to grant Volta a royalty-free, paid-up, worldwide, irrevocable (except as provided herein), non-exclusive right and license to use the to use the name, logos, trademarks, depictions of Ads or Ad Content, or copyrights (collectively, “Marks”) to identify Advertiser as an advertising partner or for other marketing purposes on AD Retail Media/Volta Displays, AD Retail Media/Volta website, applications and marketing or other materials (collectively, “Marketing”). Upon termination of all Purchase Orders, to the extent reasonably practicable, Volta will remove any Marks from any Marketing within a reasonable period; provided, however, that Advertiser acknowledges that Marks displayed in certain published Marketing may not be removed. All goodwill arising from any such use will inure to Advertiser’s benefit. • Volta will not display, copy, modify, transmit or otherwise use the Marks except as described in these Terms & Conditions or a Purchase Order or as otherwise agreed in writing by Advertiser or use the Marks in any way that may be damaging to Advertiser’s brand or to Advertiser’s interests in the Marks.
AD Retail Media/Volta Use of Advertiser Marks:
• Each party represents and warrants to the other that it is duly organized, validly existing, and in good standing under the laws of the jurisdiction in which it was organized; and the execution and delivery of any Purchase Order, and the performance of the transactions contemplated hereby and thereby, are within its corporate powers, and have been duly authorized by all necessary corporate action. • Advertiser represents and warrants to AD Retail Media/Volta a that: (a) any Ad Content will be accurate, true, and complete, (b) Advertiser has all necessary rights and permissions to allow Volta to use and display the Ad Content, and (c) the Ad Content does not contain any content that violates AD Retail Media/Volta content guidelines or that is otherwise unlawful, defamatory or obscene, or infringes or violates any third‐party rights (including any intellectual property rights or privacy or publicity rights), or may encourage a criminal offense or otherwise give rise to civil liability. • Advertiser represents and warrants to AD Retail Media/Volta that Advertiser will not use any AD Retail Media/Volta copyrights, trademarks, trade secrets or other intellectual property rights laws, and all similar or equivalent rights or forms of protection (“Volta IP”) in any manner without Volta’s prior written consent. Nothing contained in these Terms shall be construed as granting Advertiser or any third party any right, title, or interest in or to any Volta IP. All rights not expressly granted to Advertiser hereunder are reserved by AD Retail Media/Volta. • Advertiser represents and warrants that all of its activities under any Purchase Order are and will be in full compliance with all applicable federal, state and local laws and regulations.
Representations and Warranties:
• All Purchase Orders are firm and non-cancelable by Advertiser. After signing a Purchase Order, Advertiser may not cancel or modify its obligations under such Purchase Order without first obtaining AD Retail Media/Volta’s written consent. • AD Retail Media/Volta reserves the right to cancel this contract at any time upon default Advertiser in the payment of bills or other material breach of these Terms & Conditions; upon such cancellation, all outstanding fees under any Purchase Order shall become immediately due and payable by Advertiser. • AD Retail Media/Volta shall not be liable for any failure to produce and install Advertiser’s proposed Ads if such failure is due to acts of God(s), strikes, accidents, damage to equipment, or other circumstances beyond the control of AD Retail Media/Volta. In the event that the Advertiser’s Ad(s) are not placed due to such circumstances, AD Retail Media/Volta will credit Advertiser for days lost on a pro rata basis. Credit will be given only when a AD Retail Media/Volta Display is inactive or damaged for more than 24 hours.
Cancelation:
• Any waiver of any breach or default of any term or condition shall not be considered a waiver of any subsequent breach or default. • Changes to these Terms & Conditions may be made only upon written consent of all parties. • AD Retail Media/Volta is an independent contractor and not an agent of Advertiser. Neither these Terms & Conditions or any Purchase Order nor the relationship of Advertiser and AD Retail Media/Volta shall be deemed to be a joint venture, partnership, or any other association for any purpose or any contacts. • The laws of the State of California govern these Terms & Conditions, all Purchase Orders, and any matter arising out of or related to it, without regard to its conflicts of laws principles. • The Parties will attempt to resolve any dispute, claim or controversy arising out of or relating to these Terms & Conditions or any Purchase Order by mediation submitted to JAMS. If this effort does not fully resolve the matter, then the dispute is to be submitted to JAMS for final and binding arbitration. Any mediation or arbitration will be conducted in San Francisco, California. Any arbitration will be before a single arbitrator. The arbitration is to be administered by JAMS pursuant to its Comprehensive Arbitration Rules and Procedures, unless the value of the claim is $500,000 or less, in which case pursuant to JAMS’ Streamlines Arbitration Rules and Procedures. Judgment on the Award may be entered in any court having jurisdiction. This clause shall not preclude a Party from seeking provisional equitable relief pending mediation or arbitration from a court of appropriate jurisdiction.
